PointsBet reaffirms preference for MIXI Australia’s merger offer amidst battle with Betr Entertainment
PointsBet has doubled down on its choice to accept MIXI Australia’s merger proposal despite Betr Entertainment’s persistent attempts to acquire the operator. Betr Entertainment claimed that its offer provided better value and accused PointsBet of not considering their proposal seriously, but the Australian sportsbook firmly rejected these accusations.
Betr’s Ongoing Duel with MIXI
PointsBet has been the subject of acquisition interest for some time now. Last year, BlueBet proposed to buy the company for AUD 340 million ($220.5 million) but was quickly challenged by MIXI Australia with an offer of AUD 353 million ($227 million).
After Betr Entertainment acquired BlueBet, they presented a bid of AUD 360 million ($231.6 million), claiming that synergies worth AUD 40 million ($25.7 million) could result in a total value of AUD 1.33 ($0.86) per share. PointsBet initially acknowledged this as a superior offer.
However, when MIXI Australia raised the stakes with an offer of AUD 402 million ($261 million), equivalent to AUD 1.20 ($0.77) per share, PointsBet started favoring this proposal.
Despite Betr’s arguments about greater synergy value, PointsBet’s leadership was skeptical about their forecasts. Consequently, PointsBet urged its shareholders to support the MIXI offer.
Betr was dissatisfied with this decision and accused PointsBet of not acting in good faith. Subsequently, Betr made a new all-scrip offer and claimed that independent experts had verified higher synergy values.
“In fact, the advisers upgraded their verified synergy estimates from our AUD 41.6 million to AUD 47.5 million, giving us great confidence in our ability to deliver in line with our plan,” said Matt Tripp, chair of Betr.
PointsBet’s Defense Against Betr’s Claims
In response, PointsBet reiterated its commitment to proceed with the MIXI proposal and encouraged stakeholders to vote in favor of that deal. The sportsbook maintained that Betr’s proposal included overstated synergy forecasts that were uncertain and highly conditional.
PointsBet raised concerns about Betr’s proposal, including a possible share buyback, highlighting that it is a separate transaction not subject to shareholder approval. PointsBet also questioned Betr’s immediate liquidity promises.
PointsBet denied any wrongdoing and claimed that it had considered Betr’s offer until MIXI presented a superior proposal. As a result, PointsBet urged shareholders to approve the MIXI takeover and argued that Betr’s latest proposal was not in their best interest.
However, Betr, holding a 19.9% stake in PointsBet, announced that they would vote against the MIXI deal, potentially jeopardizing the arrangement’s future.
